The Santander Scrip Dividend Scheme February 2012

Santander is implementing a scrip dividend scheme again in February 2012, when the third interim dividend is traditionally paid.  Shareholders will again have the opportunity to choose whether to receive cash or new shares.

Please note that the deadline for making your online election for the February 2012 Scrip Dividend was 5 p.m. on 18 January 2012. If you register a choice after the deadline for the February Scrip Dividend and before we notify you of the next scrip dividend, your choice will be held on record, and unless changed by you, will be applied in relation to future Santander Scrip Dividend Schemes. Make your online election here.

Material Fact relating to the February 2012 Scheme - Conversion Ratio

On the 30 December 2011, the Spanish Government announced an increase in the rate of Spanish withholding tax from 19% to 21%, effective from the 1 January 2012. Future dividend distributions, including cash distributions for Option 1 of the Santander Scrip Dividend Scheme, will have Spanish withholding tax deducted at the new rate of 21% from February 2012. Options 2 and 3 have no Spanish withholding tax liability.

*The above documents currently quote the previous tax rate of 19%.
