UK Shareholders Alerts Service – Applicable Conditions

About Us and this Service

We are Banco Santander, S.A., a company incorporated in Spain and registered in the United Kingdom with registered number FC004459. Our registered offices in the United Kingdom are at 2 Triton Square, Regents Place, London, NW1 3AN ("us" or "we").

We are authorised and regulated by the Financial Services Authority and are registered in the Financial Services Authority Register with registration number 136261.

We, through our UK Shareholder Relations Department, are offering a free "Shareholders Alert Service" to our UK-based shareholders, described more fully below. By registering for this service, "You" the subscriber, agree to comply with these Conditions, which govern this Service.

Shareholders Alert Service

By registering for this Service, You agree to us sending You SMS text messages and/or emails from time to time containing information ("Information") relating to us and any of our parent, subsidiary and affiliated companies (our "Group") including:

• quarterly financial results;
• payment of dividends;
• announcements of annual general meetings; and
• press releases and other general information,

(the "Shareholders Alerts Service").

Your Responsibilities

The Shareholders Alerts Service is only available to residents of the United Kingdom who have a mobile telephone account (prepay or monthly contract) registered with a mobile telephone operator in the United Kingdom. By registering for the Shareholders Alert Service You represent to us that You are one of our UK-based shareholders. You are responsible for maintaining Your telephone contract with Your mobile phone operator and ensuring that the terms of Your contract with Your mobile telephone operator, and Your mobile phone, enable You to receive the Shareholders Alerts Service.

You must inform us immediately if You change Your mobile telephone number or email address, through this site, to allow us to update our records.

You represent to us that all data and information You provide to us in connection with the Shareholders Alert Service is accurate and to notify us if any of that data or information changes.

Costs and Fees

We will provide the Shareholders Alerts Service to You free of charge. However, You will be responsible for paying all other costs in connection with Your receipt of the Shareholders Alerts Service, including:

• any charges You incur when You send any communication (email, SMS text message or otherwise) to us;
• all costs incurred in maintaining Your internet email account and Your mobile phone contract; and
• in particular, You will be responsible for paying any additional charges that Your mobile phone operator or internet service provider may charge You to receive the Shareholders Alerts Service, including, for example, roaming charges.

Our Liability

We will not be responsible for any failure or delay in our provision of the Shareholders Alerts Service, including where such failure or delay arises because:

• You have not provided us with the correct mobile telephone number, email address or You have failed to notify us of any changes;
• of a fault or problem with Your mobile telephone, mobile telephone network, Internet or email account or any hardware you use to receive the Shareholders Alert Service; or
• any other reason beyond our control.

We do not guarantee or accept any responsibility for the accuracy or completeness of any of the Information.

The Information is for general information purposes only. You should not, and agree that You will not, rely on the Information without first obtaining independent advice from Your advisors. Any decisions You make based on the Information is at Your own risk.

To the maximum extent permitted by law, we exclude any liability for any losses You incur in connection with Your use of the Shareholders Alert Service or of the Information, including Your reliance on the Information or the unavailability of the Shareholders Alert Service.

We will not be liable to You for any losses that we or You cannot reasonably foresee will result from Your use of the Shareholders Alerts Service. Specifically, we will not be liable for any consequential or indirect loss or damage or for any loss of business, revenue, profits, income or data resulting from our provision of the Shareholders Alert Service, our breach of these Conditions or Your use of the Shareholders Alert Service.

We do not exclude or limit our liability in any way if You suffer death or personal injury as a result of our negligence, for our fraud or for any other type of liability for which we are not permitted to exclude our liability by law.

Cancellation by Us

We reserve the right to suspend temporarily, or cancel, the Shareholders Alert Service at any time without notice to You.

Your Cancellation Rights

If at any time You wish to unsubscribe from the Shareholders Alert Service You may do so by:

• sending an email to shareholders@santander.com; or
• by clicking here.

Your Personal Information

We will keep the personal information You give us in connection with the Shareholders Alert Service and will use it for any reasonable purposes relating to the provision of the Shareholders Alert Service including sending SMS or email messages. We reserve the right to disclose Your personal information to any regulatory or governmental bodies if required to do so by law.

You also agree that we may use Your personal information to send You details of other services and promotions (both from our Group and selected third parties) that we think may be of interest to You by email, text message or any other equivalent method of electronic communication. If You do not want us to use this information in this way, You may opt-out by sending an email to shareholders@santander.com.

Law

These Conditions are governed by English law and the English courts have exclusive jurisdiction to settle any dispute arising in connection with them.
